Version: v1.0
These Terms of Service (the “Terms”) govern your access to and use of ScreenMark, a browser-based screenshot annotation tool provided by Patten Labs, based in Ontario, Canada (“ScreenMark,” “we,” “us,” or “our”). Please read these Terms carefully before using ScreenMark.
1. Acceptance of Terms
By accessing, using, creating an account for, or purchasing a subscription to ScreenMark, you agree to be bound by these Terms. Our Privacy Policy is at /privacy. If you do not agree to these Terms, you must not use ScreenMark.
If you use ScreenMark on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
ScreenMark is a fast, browser-based screenshot annotation tool for professionals, designers, product managers, educators, teams, and other users. ScreenMark allows users to paste, upload, annotate, highlight, add arrows, add text, blur or redact content, and export ready-to-share images. ScreenMark does not extract text from screenshots or send images to AI or transcription services. The Windows desktop app opens the editor on this device with the capture pasted; markup made there is not saved to ScreenMark cloud history.
We may improve, modify, suspend, or discontinue parts of ScreenMark from time to time, provided that we will not materially reduce paid functionality during an active paid subscription period without a reasonable replacement or notice where required by law.
3. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction, or have consent from a parent or legal guardian, to use ScreenMark. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate account and billing information and keep it up to date.
4. Subscription and Billing
ScreenMark Pro is offered as a recurring annual subscription priced at $9.99 USD per year, plus any applicable taxes.
Auto-renewal: Your subscription automatically renews each year unless you cancel before the renewal date. By purchasing ScreenMark Pro, you authorize us and our payment processor to charge your payment method annually at the then-current subscription price, plus applicable taxes, until you cancel.
Cancellation: You may cancel your subscription at any time through the billing management portal or any cancellation method we make available. After cancellation, you will continue to have access to paid features until the end of your current paid subscription period.
No prorated refunds: Unless required by applicable law, we do not provide prorated refunds or credits for partial subscription periods, unused time, downgrades, or cancellations made after a renewal charge has processed.
Price changes: If the subscription price changes, we will provide notice where required by applicable law before the change applies to a future renewal.
5. Payment Processing
Payments are processed by Stripe or its affiliates. We do not store your full payment card details. Your payment information is handled by Stripe according to its own terms and privacy practices. You authorize Stripe to process charges for ScreenMark subscriptions on our behalf.
6. License to Use ScreenMark
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use ScreenMark for your personal or internal business purposes.
You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of ScreenMark, except as permitted by law.
7. User Content
“User Content” means screenshots, images, annotations, text, and other materials you upload, paste, create, or export using ScreenMark. You retain ownership of your User Content.
You grant us a limited license to host, process, transmit, display, and store User Content only as needed to provide, secure, support, and improve ScreenMark.
You are responsible for ensuring you have the rights and permissions needed to upload and process User Content. Do not upload confidential, sensitive, personal, or regulated information unless you are authorized to do so and understand the risks.
8. Acceptable Use
You agree not to use ScreenMark to:
- Violate any applicable law, regulation, or third-party rights;
- Upload malicious code, malware, or harmful content;
- Attempt to gain unauthorized access to ScreenMark or related systems;
- Interfere with, overload, or disrupt the service;
- Use ScreenMark to harass, defame, abuse, threaten, or harm others;
- Process content that is unlawful, infringing, deceptive, or exploitative;
- Resell or commercially provide access to ScreenMark without our written permission.
9. Privacy
Our Privacy Policy, which describes how ScreenMark handles your screenshots and account information, is at /privacy.
10. Termination
You may stop using ScreenMark at any time. We may suspend or terminate your access if you breach these Terms, misuse the service, create risk for us or others, fail to pay applicable fees, or where required by law.
If your paid subscription is terminated due to your breach of these Terms, you may lose access to paid features without a refund, except where prohibited by applicable law.
11. Disclaimers
ScreenMark is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and error-free operation.
We do not guarantee that ScreenMark will meet your requirements, be uninterrupted, secure, or free from errors, or that exported content will be suitable for any particular purpose.
12. Limitation of Liability
To the maximum extent permitted by applicable law, ScreenMark and Patten Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.
To the maximum extent permitted by law, our total liability for all claims relating to ScreenMark or these Terms will not exceed the greater of: (a) the amount you paid to us for ScreenMark in the 12 months before the event giving rise to the claim; or (b) CAD $50.
Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless ScreenMark, Patten Labs, and our directors, officers, employees, contractors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from your User Content, your misuse of ScreenMark, your breach of these Terms, or your violation of law or third-party rights.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
15. Dispute Resolution
Before starting a formal legal claim, you agree to contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may bring a claim in the courts located in Ontario, Canada, unless applicable consumer protection law gives you the right to bring a claim in another jurisdiction.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where appropriate.
16. Changes to These Terms
We may update these Terms from time to time. When changes are material, we will provide notice through ScreenMark, by email, or by other reasonable means. The updated Terms will state their effective date and version. Continued use of ScreenMark after updated Terms take effect means you accept the updated Terms.
For paid subscriptions, changes that materially affect billing, renewal, cancellation, or paid access will be handled in accordance with applicable Canadian and Ontario consumer protection requirements.
